AMEND by changing the period to a semicolon and adding the word "or " after the semicolon on line 1104.

AMEND FURTHER by adding a new subparagraph between lines 1104 and 1105 to read as follows:

"(iii) The related member is not primarily engaged in the acquisition, use, maintenance or management, ownership, sale, exchange or any other disposition of intangible property."

AMEND FURTHER, the title, to conform.
